Terms of Sale for JK foods - B2B Transactions
- Introduction These Terms of Sale apply to all sales of products by JK Foods(“Seller”) to its business customers (“Buyer”). By placing an order, the Buyer agrees to be bound by these terms.
- Order and Acceptance All orders are subject to acceptance by the Seller. Minimum order quantities may apply. The Seller reserves the right to reject any order at its discretion.
- Pricing and Payment Terms Prices shall be as agreed upon in the contract or order form. Unless otherwise agreed, payment terms are net 30 days from the invoice date. The Seller reserves the right to require advance payment or satisfactory security for the goods if the financial condition of the Buyer so warrants.
- Delivery and Shipping Delivery terms shall be agreed upon at the time of the order. The Buyer is responsible for all shipping and handling costs, which will be specified in the order. The Seller is not responsible for delays in delivery due to circumstances beyond its control.
- Inspection and Acceptance The Buyer shall inspect the goods upon receipt and notify the Seller of any claims for shortages, defects, or damages within 10 days. Failure to notify the Seller within this period constitutes acceptance of the goods as is.
- Returns and Cancellations Due to the perishable nature of food products, returns and cancellations are subject to the Seller’s discretion. Custom or special orders are non-cancellable and non-refundable.
- Warranties The Seller warrants that the products shall conform to the agreed specifications. No other warranties, express or implied, are made by the Seller.
- Limitation of Liability The Seller’s liability for any claim related to the products is limited to the purchase price of the goods. The Seller shall not be liable for any indirect, special, consequential, or incidental damages.
- Compliance Both parties agree to comply with all applicable laws and regulations relating to their respective activities under these Terms.
- Confidentiality Both parties agree to maintain the confidentiality of any proprietary information received from the other party.
- Dispute Resolution Any disputes arising out of these Terms shall be resolved through negotiation, and if necessary, through arbitration or litigation in a jurisdiction agreed upon by both parties.
- General Provisions These Terms constitute the entire agreement between the parties, superseding all prior or contemporaneous communications. No amendment or waiver of any provision of these Terms shall be effective unless in writing and signed by both parties.
